Secretary Services

As per to the Companies Law, Cap 113 (the ‘Law’), every company in Cyprus is obliged to have a director and secretary, noting that the latter is responsible for the efficient administration and operations of the company as well as compliance with local legal requirements.
It should be noted that in the interests of efficiency and smooth operation of the company, a local Greek-speaking secretary should be appointed, considering that the secretary will be directly liaising with the authorities in the Greek language.
Nominee Secretary Services play a crucial role in Cyprus’s corporate landscape, ensuring compliance with corporate governance regulations while maintaining the confidentiality of company operations. In line with Cyprus’s commitment to international transparency and regulatory standards, Nominee Secretary Services enable companies to maintain privacy without compromising their adherence to the country’s legal framework.

Frequently Asked Questions

Nominee Secretaries act as legal representatives for the company, responsible for maintaining and updating statutory records, filing annual returns, and ensuring compliance with Cyprus’s corporate governance regulations. While a Nominee Secretary may not be directly involved in the day-to-day management of the company, they have the same legal obligations and fiduciary duties as other company officers, including acting in the best interests of the company and maintaining confidentiality.

Nominee Secretaries are responsible for fulfilling the company’s legal requirements, such as ensuring that the company complies with the provisions of the Companies Law, Cap. 113, regarding the filing of annual returns, maintaining statutory registers, and updating the company’s Articles of Association as necessary.

Companies utilizing Nominee Secretary Services in Cyprus must ensure that their Nominee Secretary complies with all applicable laws and regulations. This includes conducting proper due diligence on the Nominee Secretary and ensuring that they are a suitable candidate for the role. Additionally, the company must provide the Nominee Secretary with all necessary information and documentation to fulfill their duties effectively.

Companies using Nominee Secretary Services must also abide by the provisions of the Prevention and Suppression of Money Laundering and Terrorist Financing Law of 2007 (as amended) and the CySEC Directive DI144-2007-08. This includes maintaining adequate and up-to-date records of their company officers and ensuring that they adhere to AML and CFT requirements.

  • Nominees will act on your behalf throughout the entire company registration process as well as for required transactions once the company is formed such as for opening bank accounts, without the need for you to physically be present in Cyprus.
  • By using nominees you will be granted full anonymity and confidentiality (note that the names of the beneficial owners must be disclosed to the bank for the purpose of opening the company bank accounts).
  • All company’s obligations towards the Registrar of Companies will be filed by the Secretary.

It is not permitted for one person to act both as a secretary and a director, if the shareholder of the company is a different person or an entity. Such a company cannot be incorporated, and the Registrar of Companies would reject the submission for its incorporation.

In the cases where the shareholder is a different person from the director and secretary, it would be good to have a third person be appointed as the Secretary if you do not have enough people to be appointed in each position.

Legal Basis and Regulatory Framework:

Secretary Services in Cyprus are primarily governed by the Companies Law, Cap. 113, which provides the legal foundation for company formation, management, and dissolution.
Additionally, the Prevention and Suppression of Money Laundering and Terrorist Financing Law of 2007 (as amended) and the Cyprus Securities and Exchange Commission’s (CySEC) Directive DI144-2007-08 establish the framework for the proper conduct of corporate service providers, including those offering Nominee Secretary Services. These regulations ensure that businesses in Cyprus maintain the highest level of transparency and compliance with international anti-money laundering (AML) and combating the financing of terrorism (CFT) standards.
